第1条(適用、定義、準拠法および裁判管轄)

本利用規約(以下「本規約」といいます。)は、JPEX America, Inc.(以下「当社」といいます。)が「アメスマ」の名称で提供する商品および通信サービス(以下総称して「本サービス」といいます。)の利用条件を定めるものです。

「商品」とは、当社が販売する携帯電話機、SIM、付属品その他の商品をいいます。「契約者」とは、商品を購入し、または本サービスの回線契約を申し込む個人または法人をいいます。「利用者」とは、契約者の承諾のもとで本サービスを実際に利用する者をいいます。

本規約は、抵触法の原則を除き、アメリカ合衆国テキサス州法に準拠し、同法に従って解釈されます。第28条に別段の定めがある場合を除き、本規約または本サービスに起因し、もしくは関連する紛争のうち仲裁の対象とならないものについては、当事者が別途書面で合意しない限り、テキサス州ダラス郡に所在する州裁判所または連邦裁判所を専属的合意管轄裁判所とします。

第2条(交換、返品および注文の取消し)

SIMカード単品に関する交換その他のお問い合わせは、当ウェブサイトのお問い合わせフォームまたはsupport@amesma.netまでご連絡ください。当社より手続の詳細をご案内します。

携帯電話機の受領時に傷、破損その他の不具合がある場合は、受領日から3日以内に、当ウェブサイトのお問い合わせフォームまたはsupport@amesma.netまでご連絡ください。受領日から14日以内に確認された初期不良は、端末保証の対象となる場合があります。ただし、契約者または利用者の故意、過失、誤使用、事故、紛失その他これらに類する原因による故障または損害について、当社は責任を負いません。

利用開始前の注文取消しまたは契約キャンセルは、契約者が指定した利用開始日の3営業日前まで受け付けます。それ以降に契約者の都合または過失により取消しを申し出た場合、全額返金の対象とはならず、開通手数料および1か月分のプラン料金を請求します。

発送後のSIMカードは返品できず、返金の対象となりません。

SIMカードの初期不良による交換は当社の判断により行います。不具合を確認できない場合、交換をお断りすることがあります。

すでに利用されたサービスの料金(月額基本料金、通話料金、SMS料金およびデータ料金を含みます。)は返金の対象となりません。米国携帯プランの初月基本料金は日割りで返金しません。ただし、利用開始日から2日以内に当社へ連絡があり、電波接続の不具合等により利用実績がないことを当社が確認できた場合に限り、プラン料金を返金することがあります。利用開始日の翌々日を経過した後の申出は、利用実績の有無にかかわらず返金の対象となりません。

電話番号の開通後、SMSの送受信ができない、通話の発着信ができない、その他通常利用が著しく困難であるなど、電話番号に起因する不具合が確認された場合、当社の判断により電話番号を無償で変更することがあります。ただし、利用端末が原因である場合を除きます。迷惑電話が多いなどの理由による無償変更はお断りすることがあります。有償での電話番号変更は、当社所定の条件により承ります。

携帯電話機の返品に伴う返金額は、返品された商品の状態に応じて当社が決定します。契約者または利用者による破損、付属品の欠品その他商品の価値を減少させる事情がある場合、返品または交換をお断りすることがあります。詳細は、当社の中古端末保証に関する案内をご確認ください。

返金が支払いに使用されたクレジットカードに反映されるまで、約1か月を要する場合があります。為替レートの変動により購入時の支払額と返金額に差額が生じても、当社はその差額を補填しません。クレジットカード会社が課す海外取引手数料その他の手数料は、契約者の負担となります。

第3条(配送)

商品は、原則として、申込日から米国内配送および日本国内配送のいずれも3~5営業日以内にお届けします。ただし、在庫状況、配送地域、通関、天候、配送事業者の事情その他当社の合理的な支配を超える事情により遅延する場合があります。

日本国内配送は、契約者の渡米予定日等を考慮し、日本郵便のレターパックまたはヤマト運輸により発送します。米国内配送は、USPS Priority Mail、FedEx Expressその他当社が適切と判断する方法により発送します。

通常の配送期間を経過しても商品が届かない場合は、当ウェブサイトのお問い合わせフォームまたはsupport@amesma.netまでご連絡ください。

契約者が届け出た住所の誤りまたは不備により再発送が必要となった場合、再発送料として、日本国内は5.00米ドル、米国内は15.00米ドルを契約者に請求します。

配送事業者の都合による配送遅延、誤配または紛失について、当社は、法令上免責が認められない場合を除き、補填または損害賠償の責任を負いません。

第4条(請求および支払方法)

本サービスに関する料金は、申込時に登録されたクレジットカードに対し、米国から米ドル建てで請求します。クレジットカード会社による海外取引手数料その他の手数料は契約者の負担となります。

商品の代金は注文時に請求します。新規回線開通手数料および初月の日割りプラン料金は、契約者が指定した回線開通希望日の7営業日前から前日までの間に請求します。翌月以降のプラン料金は、原則として前月20日前後に翌月1か月分を請求します。

従量課金の通話料、SMS送信料、国際通話料金および国際ローミング料金は、回線提供事業者から当社に利用明細が届き次第、利用履歴に基づき、原則として利用月の翌月中旬頃に請求します。回線提供事業者からの明細到着が遅れた場合、請求時期も遅れることがあります。

セールス電話、迷惑電話、心当たりのない番号からの着信またはSMS受信についても、回線提供事業者の課金仕様に従い料金が発生する場合があります。

プラン料金その他の定額料金は、実際の利用の有無にかかわらず、契約電話番号の使用権の確保および管理、ならびにネットワーク利用可能量の確保および事前設定の対価として発生します。このため、電話番号使用権が失効する日まで料金が発生します。

契約者または利用者の返信遅延、必要情報の未提出その他の過失により各種手続が遅延し、追加費用が発生した場合、契約者は当該費用を支払うものとします。

端末のデータ通信設定を無効にしなかったことにより発生したデータ通信料、およびテザリングにより発生した通信料は課金対象となります。必要な設定方法は、利用前に端末の販売元または製造元へ確認してください。

追加購入した高速データは、指定された有効期間内に、購入時に指定された電話番号でのみ利用できます。購入後の取消しまたは返金はできません。

登録クレジットカードに変更が生じた場合、契約者は速やかに当社へ連絡し、登録情報を更新するものとします。利用限度額超過、有効期限切れその他の理由により料金を決済できず未払いが生じた場合、未払い額が全額支払われるまで回線を一時停止することがあります。一時停止後に回線を再開する場合、所定の回線再開通手数料を請求します。

未払いの状態が1か月以上継続した場合、当社は事前に通知したうえで契約を自動的に解除し、督促状を送付することがあります。当社は未払い債権の回収を集金代行業者その他の第三者に委託することができます。この場合、契約者は、法令で認められる範囲において、集金代行業者の手数料を含む回収に要した合理的な費用を支払うものとします。

第5条(登録情報の変更)

契約者は、契約時に届け出た住所、氏名、電話番号、Eメールアドレスその他の登録情報に変更があった場合、当ウェブサイトのお問い合わせフォームまたはsupport@amesma.netまで速やかに連絡するものとします。

変更の届出がない場合、当社が変更前の登録情報に基づいて発した通知は、通常到達すべき時に契約者へ到達したものとみなします。登録住所の変更等が未届であるため商品を送付できない場合、再配送に要する送料その他の費用は契約者の負担とし、当社は後日これを請求することができます。

第6条(回線の開通)

回線は、申込時に契約者が指定した回線開通希望日に基づき、自動的に開通します。電話番号は、原則として開通希望日の前日または当日に、申込時に登録されたEメールアドレスへ通知します。

開通希望日になっても電話番号の通知を受け取っていない場合、契約者は直ちに当ウェブサイトのお問い合わせフォームまたはsupport@amesma.netまで連絡するものとします。

申込完了後、登録されたEメールアドレス宛に、月額料金支払い用クレジットカードの登録を依頼するメールを送信します。開通希望日までにクレジットカード登録が完了していない場合、回線を開通できず、本サービスを利用できません。

第7条(電話番号)

適用される法令、米国連邦通信委員会(FCC)の規則および回線提供事業者の方針により、契約者または利用者は割り当てられた電話番号の所有権を取得しません。規制当局または回線提供事業者の事情により、電話番号が変更される場合があります。

第8条(商品の管理および禁止事項)

商品は契約者の責任において管理するものとします。契約者は、当社の事前の書面による承諾なく、商品または本サービスを第三者へ譲渡、貸与、転売し、または不正な目的で利用してはなりません。

契約者または利用者が本条に違反した場合、または当社、回線提供事業者もしくは第三者に不利益または損害を与えるおそれがあると当社が合理的に判断した場合、当社は、法令上必要な場合を除き、事前通知なく申込みを拒否し、または本サービスの全部もしくは一部を停止もしくは解除することができます。

第9条(携帯電話機またはSIMカードの紛失・盗難)

携帯電話機またはSIMを紛失し、または盗難に遭った場合、契約者は直ちに当社へ連絡するものとします。当社は、連絡を受けた後、合理的に可能な範囲で回線を一時停止します。

回線の再開またはSIMの再発行には、新しいSIM代金、送料および所定の再発行手数料が必要となります。

第10条(SIM保険)

契約者は、任意の有料補償制度「SIM保険」に加入することができます。SIM保険は、対象となる携帯電話機またはSIMカードの紛失、盗難または故障が発生した場合に、所定の条件に従い、SIMカード代金および再発行手数料を免除し、新しいSIMカードを提供するサービスです。適用条件、免責事項その他の詳細は、https://amesma.net/price/ をご確認ください。

第11条(通信エリア)

本サービスは、利用する回線提供事業者のサービスエリア内で利用できます。詳細は各回線提供事業者の提供エリア情報をご確認ください。

サービスエリア内であっても、地下、建物内、ビルの谷間、山間部その他電波が弱くなりやすい場所では、本サービスを利用できないことがあります。

第12条(ネットワーク障害)

回線提供事業者のシステム障害、ネットワーク障害、保守、混雑その他当社が直接管理できない通信ネットワーク上の問題により本サービスの利用に支障が生じた場合、当社は、法令上免責が認められない場合を除き、責任を負いません。

発信を試みたものの相手先に接続されなかった場合でも、回線提供事業者のネットワーク設備において発信として記録され、課金されることがあります。

第13条(機器の問題)

当社から購入した携帯電話機その他の機器に問題が生じた場合、契約者は速やかに当社へ連絡するものとします。連絡が遅れたことにより損害が拡大した場合、当社はその拡大部分について責任を負いません。

端末自体の性能、製造元が提供するソフトウェアまたはアプリケーションに起因する問題、ならびに当社以外から購入した機器に関する問題について、当社はサポートまたは責任を負いません。これらの問題は、契約者と製造元、販売元またはアプリ提供者との間で解決するものとします。

第14条(契約の解除)

契約者が解約を希望する場合、当ウェブサイトの「よくあるお問い合わせ」に掲載された解約手続フォームから申し込むものとします。

解約日は、解約手続フォームを提出した日の翌営業日以降の日付から、契約者が指定できます。希望解約日が明記されていない場合、当社は手続を完了できないことがあります。解約は、フォーム内で指定された日に実施します。

月の途中で解約手続を行った場合でも、電話番号使用権の失効日は原則として解約月の末日となり、月額料金の日割り計算または返金は行いません。

本サービスの最低利用期間は1か月です。契約者の都合または過失により利用開始から1か月未満で解約する場合、当社は1か月分のプラン料金を請求します。

回線停止までに発生した通話、SMS、データ通信、国際ローミングその他の利用料金については、解約完了後に請求された場合であっても、契約者は支払義務を負います。

SIMカードは契約者の所有物となり、解約後は契約者の責任で廃棄できます。

第15条(電話番号の移行)

契約者が電話番号の移行(番号ポータビリティ)を希望する場合、当ウェブサイトの注文画面、「よくあるお問い合わせ」内のお問い合わせフォーム、またはsupport@amesma.netを通じて手続を申し込むものとします。

手続は通常約1週間で完了しますが、移行元または移行先の回線提供事業者の対応、登録情報の不一致、休日その他の事情により、追加の日数を要する場合があります。当社は、当社の合理的な支配を超える事情による遅延について責任を負いません。

第16条(サービスの変更、中断または終了)

当社は、事業上、技術上、法令上または回線提供事業者の都合その他の合理的な理由により、本サービスの内容を変更、追加または削除し、または本サービスの全部もしくは一部を一時的もしくは永続的に中断もしくは終了することがあります。

契約者に重大な影響を及ぼす変更については、合理的に可能な範囲で、登録されたEメールアドレスへの通知または当ウェブサイトへの掲載により告知します。

第17条(保証の否認)

本サービスおよび商品は、「現状有姿(AS IS)」かつ「提供可能な状態(AS AVAILABLE)」で提供されます。

当社は、本サービスまたは商品の品質、性能、安全性、可用性、継続性、正確性、完全性、特定目的への適合性、商品性または第三者の権利を侵害しないことについて、法令上認められる最大限の範囲で、明示または黙示を問わず、一切保証いたしません。

当社は、通信回線提供事業者、メーカー、配送業者その他第三者が提供するサービスまたは商品について保証を行うものではありません。

第18条(責任の制限)

法令により免責が認められない場合を除き、当社は、本サービスまたは商品の利用または利用不能に起因または関連して契約者または第三者に生じた損害について責任を負いません。

当社が責任を負う場合であっても、当社の責任は、契約者が当該損害発生前の3か月間に当社へ実際に支払った利用料金の総額を上限とします。

当社は、逸失利益、営業損失、事業中断、データの消失、信用の失墜、代替サービスの取得費用その他の特別損害、間接損害、付随的損害、懲罰的損害または結果的損害について、一切責任を負いません。

この責任制限は、契約、不法行為(過失を含みます。)、厳格責任その他いかなる法的構成による請求にも適用されます。

第19条(不可抗力)

当社は、天災、地震、洪水、火災、感染症、戦争、テロ、暴動、ストライキ、政府の命令、法令の変更、通信回線提供事業者の障害、停電、インターネット障害、サイバー攻撃その他当社の合理的支配を超える事由により、本サービスの全部または一部を提供できない場合、その責任を負いません。

第20条(個人情報およびプライバシー)

当社による契約者の個人情報その他の情報の収集、利用、保管、共有および開示については、当社のプライバシーポリシーが適用されます。当該プライバシーポリシーは、参照により本規約の一部を構成するものとします。プライバシーポリシーは、適用法令および当該ポリシーに定める手続に従い、随時変更されることがあります。

契約者は、本サービスを申し込み、または利用することにより、当社のプライバシーポリシーを確認し、その内容を理解したことを認めるものとします。

適用法令上、契約者の同意が必要となる個人情報の取扱いについては、当社は、当該法令に従って必要な同意を取得します。

第21条(適正利用および禁止事項)

契約者は、本サービスを、適法な目的のために、本規約および適用されるすべての法令、規則、通信事業者の要件ならびに当社が別途定める利用条件に従って利用するものとします。

契約者は、自らまたは第三者を通じて、以下の目的または方法で本サービスを利用してはなりません。

1. 違法、詐欺的、欺瞞的、脅迫的、嫌がらせ的、濫用的または有害な行為

2. 迷惑メール、スパム、無承諾広告、無承諾勧誘その他の大量通信の送信

3. 当社または基盤通信事業者の事前承認を得ない、自動送信、大量送信または異常な量のSMS、MMS、音声通話その他の通信

4. フィッシング、スプーフィング、発信者番号の不正な変更、または第三者へのなりすまし

5. マルウェア、ウイルスその他の有害なコードの送信または配布

6. 不正アクセス、ハッキング、ネットワークへの侵入、セキュリティ機能の回避または妨害

7. 当社、基盤通信事業者、他の利用者または第三者のネットワーク、システム、設備もしくはサービスに過度な負荷をかけ、またはその正常な運用を妨害する行為

8. 知的財産権、プライバシー権その他の第三者の権利を侵害する行為

9. 本サービスの再販売、再提供、共有または商業的利用。ただし、当社が事前に書面で承認した場合を除きます。

10. 不正取得した端末、SIM、eSIM、アカウント、支払手段または個人情報の使用

11. その他、当社または基盤通信事業者が、不正利用、濫用、ネットワークの安全性を損なう利用、または通常の個人利用の範囲を著しく超える利用であると合理的に判断する行為

当社は、本条への違反があると合理的に判断した場合、またはネットワーク、他の契約者もしくは第三者を保護するために必要であると判断した場合、事前の通知なく、本サービスの全部または一部を制限、停止または終了することができます。

当社は、法令により認められる範囲で、禁止行為に関連する通信を遮断し、調査し、または関係当局もしくは基盤通信事業者に報告することができます。

第22条(緊急通報サービス(911/E911))

本サービスは、対応する端末、ネットワークおよび地域において、911またはEnhanced 911(以下「E911」といいます。)への接続を提供する場合があります。

911またはE911は、通常の携帯電話サービスと異なる方法で動作する場合があり、以下の場合を含め、利用できない、制限される、遅延する、または正確に接続もしくは位置特定されないことがあります。

1. 通信障害、ネットワーク障害、停電、災害または設備障害が発生した場合

2. 端末、SIM、eSIM、ソフトウェアまたは設定に不具合がある場合

3. 本サービスが停止、制限または終了されている場合

4. 電波状況が悪い場合または対応エリア外にいる場合

5. Wi-Fi Calling、ローミング、インターネット接続その他の代替的な通信方法を利用している場合

6. 契約者が提供または登録した住所もしくは位置情報が不正確、古い、または不完全である場合

7. 端末の位置情報機能が無効になっている場合

8. 端末またはネットワークが911もしくはE911に対応していない場合

契約者は、緊急通報を行う際、可能な限り、通報を受けた担当者に現在地、氏名、電話番号その他必要な情報を正確に伝えるものとします。

当社は、911またはE911の利用可能性、接続、経路選択、位置情報の正確性、応答時間または通信品質を保証しません。

適用法令上免責または制限することが認められない場合を除き、当社は、緊急通報の接続不能、遅延、誤接続、位置情報の不正確性または緊急対応の不履行について責任を負いません。

契約者は、緊急時には、本サービスのみに依存せず、利用可能な場合には固定電話、他の携帯電話またはその他の通信手段を確保することが推奨されます。

第23条(輸出管理および経済制裁)

契約者は、米国輸出管理規則、米国財務省外国資産管理局(Office of Foreign Assets Control。以下「OFAC」といいます。)が管理する経済制裁、禁輸措置その他の適用される輸出管理法、再輸出規制、貿易規制および経済制裁法令を遵守するものとします。

契約者は、適用法令に違反して、本サービス、SIM、eSIM、端末、ソフトウェア、技術その他の関連商品またはサービスを、直接または間接に、使用、輸出、再輸出、移転、提供または利用可能な状態にしてはなりません。

契約者は、以下のいずれにも該当しないことを表明し、保証します。

1. 適用される米国政府の制裁対象者リストまたは取引制限対象者リストに掲載されている者

2. 制裁対象者が直接または間接に所有または支配する者

3. 包括的な米国制裁または禁輸措置の対象となる国または地域に所在し、居住し、またはその法令に基づき設立された者。ただし、適用法令または政府の許可により認められる場合を除きます。

4. 適用される輸出管理法または制裁法により、本サービスを受領または利用することを禁止されている者

当社は、適用される輸出管理法または制裁法を遵守するために必要であると合理的に判断した場合、事前の通知なく、注文を拒否し、本サービスを制限、停止もしくは終了し、または取引を保留することができます。

第24条(分離可能性)

本規約のいずれかの条項またはその一部が、管轄権を有する裁判所または仲裁人により無効、違法または執行不能と判断された場合、当該条項は、適用法令上認められる最大限の範囲で有効となるよう必要最小限に修正または制限されるものとします。

修正または制限によっても執行可能とならない場合、当該条項または当該部分は本規約から分離されるものとし、本規約のその他の条項は、引き続き完全な効力を有するものとします。

第25条(完全合意)

本規約、プライバシーポリシー、注文内容、料金プラン、ならびに本規約において明示的に参照され、または組み込まれるその他の規約、方針および文書は、本サービスに関する契約者と当社との間の完全な合意を構成します。

これらは、本サービスに関する当事者間の従前または同時期のすべての口頭または書面による合意、交渉、連絡、説明、提案、表明および了解事項に優先します。

ただし、当社の権限を有する代表者が署名した書面により、本規約と異なる内容を明示的に合意した場合は、その書面が優先するものとします。

第26条(契約上の地位および権利義務の譲渡)

契約者は、当社の事前の書面による承諾なく、本規約に基づく契約上の地位、権利または義務の全部または一部を、第三者に譲渡、移転、委任またはその他の方法で処分することはできません。

本条に違反して行われた譲渡または移転は、法令上認められる範囲で無効とします。

当社は、合併、買収、組織再編、資産もしくは事業の全部または一部の売却、資金調達、関連会社への移転、サービス提供者または基盤通信事業者の変更、その他事業承継に関連して、本規約に基づく契約上の地位、権利または義務の全部または一部を、契約者の個別の承諾を得ることなく譲渡または移転することができます。

本規約は、各当事者およびその適法な承継人ならびに認められた譲受人を拘束し、その利益のために効力を有します。

第27条(権利放棄の否定)

当社が、本規約に基づく権利、救済手段または条項を行使もしくは執行しなかった場合、またはその行使もしくは執行が遅れた場合であっても、当該権利、救済手段または条項を放棄したものとはみなされません。

当社による権利放棄は、当社の権限を有する代表者が書面で明示的に行った場合に限り有効とし、当該書面に明記された特定の事項および場合にのみ適用されます。

ある違反について権利を放棄した場合であっても、同一または異なる条項に関する過去、現在または将来の違反について権利を放棄したものとはみなされません。

第28条(紛争解決および拘束力のある個別仲裁)

1. 本条の確認

本条は、契約者および当社の法的権利に重大な影響を与えます。

以下に定める場合を除き、契約者および当社は、紛争を裁判官または陪審員が審理する裁判ではなく、拘束力のある個別仲裁により解決することに同意します。

仲裁では、裁判に比べて証拠開示および上訴の権利が制限される場合があります。

2. 事前の紛争通知および非公式協議

仲裁または裁判手続を開始する前に、紛争を申し立てる当事者は、相手方に対し、書面による紛争通知を送付し、少なくとも30日間、誠実に非公式な解決を試みるものとします。

契約者から当社への通知には、以下を記載してください。

・契約者の氏名、住所、電話番号および電子メールアドレス

・対象となるアメスマの電話番号またはアカウントを特定する情報

・紛争の内容および根拠

・求める解決内容

当社から契約者への通知は、契約者が当社に登録した住所または電子メールアドレスへ送付します。

30日以内に紛争が解決しない場合、いずれの当事者も仲裁または本条で認められるその他の手続を開始できます。

適用される出訴期限は、当該30日間、法令上認められる範囲で停止されるものとします。

3. 仲裁への合意

本規約、本サービス、商品、料金、請求、広告、販売、プライバシー、通信、契約者と当社との関係、または本規約の成立、解釈、履行もしくは終了に起因または関連する一切の紛争、請求または論争は、契約、不法行為、制定法、詐欺、不実表示その他の法的根拠を問わず、最終的かつ拘束力のある個別仲裁により解決されるものとします。

本仲裁条項は、米国連邦仲裁法(Federal Arbitration Act)に準拠します。

本仲裁条項の成立、有効性または執行可能性に関する問題は、裁判所が判断するものとします。ただし、個別の請求が仲裁の対象となるか、または仲裁手続に関するその他の問題については、適用法令上認められる範囲で仲裁人が判断するものとします。

4. 仲裁機関および規則

仲裁は、American Arbitration Association(以下「AAA」といいます。)が、その時点で有効なAAA Consumer Arbitration Rulesおよび該当する場合にはMass Arbitration Supplementary Rulesに従って管理します。

本規約とAAAの規則が抵触する場合、適用法令上認められる範囲で本規約が優先します。ただし、本規約を適用することにより仲裁が根本的に不公正となると仲裁人または裁判所が判断した場合は、この限りではありません。

仲裁は、1名の中立な仲裁人により英語で実施されます。契約者が別の言語による合理的な配慮を必要とする場合、契約者はAAAおよび当社に対してこれを求めることができます。

仲裁人は、適用される実体法および本規約に従い、個別の当事者に対し、裁判所が認めることのできる救済を与えることができます。

仲裁判断は最終的かつ拘束力を有し、管轄権を有する裁判所において判決として登録し、執行することができます。

5. 仲裁の場所および方法

契約者は、書面、電話、ビデオ会議、または契約者の居住する郡もしくはAAAおよび両当事者が合意するその他の場所における対面審理を選択することができます。ただし、AAAの規則または仲裁人の判断により別途定められる場合を除きます。

当社は、契約者がテキサス州ダラス郡に出席することを当然には要求しません。

6. 仲裁費用

仲裁申立手数料、管理費用および仲裁人報酬は、AAA Consumer Arbitration Rulesおよび適用法令に従って負担されます。

当社は、AAA規則または適用法令により当社が負担すべき費用を負担します。

仲裁人が契約者の請求が明らかに根拠を欠き、または不当な目的で申し立てられたと判断した場合を除き、当社は、適用されるAAA規則上契約者が負担すべき金額を超える仲裁費用を契約者に請求しません。

各当事者は、法令、AAA規則または仲裁判断により別途認められる場合を除き、自己の弁護士費用を負担します。

7. 少額裁判所および公的機関への申立て

本条にかかわらず、契約者または当社は、請求が当該裁判所の管轄要件を満たし、かつ個別の請求として行われる限り、管轄権を有する少額裁判所に請求を提起することができます。

また、本条は、契約者がFCC、FTC、州司法長官、消費者保護機関その他の行政機関または規制機関に申立てまたは苦情を提出する権利を妨げるものではありません。

8. 集団訴訟および代表手続の放棄

適用法令上認められる最大限の範囲で、契約者および当社は、すべての紛争を個別にのみ提起し、解決することに同意します。

契約者および当社は、集団訴訟、集団仲裁、共同訴訟、統合訴訟、代表訴訟、私的司法長官訴訟その他第三者を代理して行う手続において、原告、請求者、集団構成員または代表者として参加する権利を放棄します。

仲裁人は、複数の者の請求を統合し、集団、共同または代表的な手続を主宰する権限を有しません。ただし、両当事者が書面で明示的に合意した場合、または適用されるAAAの大量仲裁規則により手続上必要とされる場合を除きます。

本項の全部または一部が特定の請求または救済について執行不能と判断された場合、当該請求または救済は、仲裁可能なすべての請求が完了した後に限り、管轄権を有する裁判所で審理されるものとします。

9. 陪審裁判の放棄

仲裁の対象とならず裁判所で審理される紛争について、契約者および当社は、適用法令上認められる最大限の範囲で、陪審裁判を受ける権利を放棄します。

10. 仲裁条項からのオプトアウト

契約者は、本規約に最初に同意した日から30日以内に、当社に書面で通知することにより、本仲裁条項から離脱することができます。

オプトアウト通知には、契約者の氏名、住所、電話番号、電子メールアドレス、対象となるアメスマの電話番号またはアカウント情報、および「仲裁条項から離脱する」旨を明確に記載してください。

期限内に有効なオプトアウト通知を行った場合、本仲裁条項は当該契約者に適用されません。オプトアウトしても、その他の本規約には影響せず、当社が契約者に不利益な取扱いをすることはありません。

11. 仲裁条項の変更

当社が本仲裁条項に重大な変更を加える場合、当社は、変更の発効前に契約者へ通知します。

適用法令上認められる範囲で、契約者は、通知に定める期限内に変更を拒否することができます。その場合、契約者と当社との間で直前に有効であった仲裁条項が引き続き適用されます。

12. 存続および分離可能性

本仲裁条項は、本サービスの停止、解約、終了、番号移行、アカウント閉鎖または本規約の終了後も引き続き有効とします。

本仲裁条項の一部が無効または執行不能と判断された場合であっても、前記「集団訴訟および代表手続の放棄」に別段の定めがある場合を除き、残りの部分は引き続き有効とします。

第29条(著作権)

当ウェブサイトに掲載されている文章、写真、イラスト、画像、ロゴその他のコンテンツに関する著作権その他の知的財産権は、当社または正当な権利者に帰属します。

著作権法その他の法令により認められる私的使用、引用その他の場合を除き、当社または権利者の事前の許可なく、複製、転載、改変、配布、公衆送信その他の利用をすることはできません。利用許諾については当社までお問い合わせください。

第30条(本規約の改定)

当社は、法令の制定または改廃、サービス内容の変更、事業運営上の必要その他合理的な理由がある場合、本規約を変更、追加または削除することがあります。

本規約を変更する場合、当社は変更内容および効力発生日を、当社ウェブサイトへの掲載、契約者が登録した電子メールアドレスへの通知、または当社が適当と判断するその他の方法により通知します。

法令上直ちに効力を生じる必要がある場合を除き、変更後の規約は当社が通知または掲載した効力発生日から適用されます。

契約者が効力発生日以降も本サービスを継続して利用した場合、契約者は変更後の規約に同意したものとみなします。

1. Scope, Definitions, Governing Law, and Venue

These Terms and Conditions (the “Terms”) govern the purchase and use of products and telecommunications services offered by JPEX America, Inc. under the “Amesma” brand (collectively, the “Services”).

“Products” means mobile devices, SIM cards, accessories, and any other goods sold by the Company. “Subscriber” means any individual or entity that purchases a Product or applies for a Service line. “User” means any person who actually uses the Services with the Subscriber’s authorization.

These Terms are governed by and construed in accordance with the laws of the State of Texas, without regard to conflict-of-law principles. Except as otherwise provided in Section 28, and unless the parties agree otherwise in writing, any dispute arising out of or relating to these Terms or the Services that is not subject to arbitration shall be subject to the exclusive jurisdiction and venue of the state or federal courts located in Dallas County, Texas.

2. Exchanges, Returns, and Order Cancellations

For exchanges or other inquiries concerning a SIM card purchased separately, please contact the Company through the inquiry form on the Company’s website or at support@amesma.net. The Company will provide instructions regarding the applicable procedure.

If a mobile device arrives with scratches, physical damage, or another defect, the Subscriber must notify the Company through the website inquiry form or at support@amesma.net within three (3) days after receipt. A manufacturing or initial defect identified within fourteen (14) days after receipt may qualify for device warranty service. The Company is not responsible for damage or loss caused by the intentional act, negligence, misuse, accident, or loss by the Subscriber or User.

An order or Service activation may be canceled before activation only if the cancellation request is received at least three (3) business days before the scheduled activation date. A cancellation requested after that deadline due to the Subscriber’s circumstances or fault is not eligible for a full refund, and the Subscriber will be charged the activation fee and one full month of plan charges.

SIM cards may not be returned after shipment and are not eligible for a refund.

Replacement of a defective SIM card is subject to the Company’s determination. The Company may deny the replacement request if the reported defect cannot be verified.

Charges for Services already used, including monthly recurring charges, voice charges, SMS charges, and data charges, are non-refundable. The first month’s recurring charge for a U.S. mobile plan is not prorated for refund purposes. However, the Company may refund the plan charge only if the Subscriber contacts the Company within two (2) days after the activation date and the Company confirms that the Service was not used due to a connectivity or similar issue. A request made after the second day following activation is not eligible for a refund, regardless of whether the Service was used.

If, after activation, the assigned phone number is unusable because SMS messages cannot be sent or received, calls cannot be placed or received, or normal use is otherwise materially impaired, the Company may, in its discretion, change the phone number at no charge, unless the issue is caused by the device. The Company may deny a free number change requested because of nuisance or spam calls. A paid phone number change may be available subject to the Company’s then-current conditions.

Any refund for a returned mobile device will be determined by the Company based on the condition of the returned Product. The Company may deny a return or exchange if the Product has been damaged by the Subscriber or User, accessories are missing, or the Product’s value has otherwise been reduced. Please refer to the Company’s used-device warranty information for additional details.

A refund may take approximately one (1) month to appear on the credit card used for payment. The Company will not reimburse any difference resulting from exchange-rate fluctuations between the original charge and the refund. Any foreign transaction fee or other fee imposed by the card issuer is the Subscriber’s responsibility.

3. Shipping

Products are generally delivered within three (3) to five (5) business days after the application date for both domestic U.S. and domestic Japan shipments. Delivery may be delayed due to inventory, destination, customs, weather, carrier operations, or other circumstances beyond the Company’s reasonable control.

Shipments within Japan will be sent by Japan Post Letter Pack, Yamato Transport, or another appropriate method, taking the Subscriber’s planned travel date into account. Shipments within the United States will be sent by USPS Priority Mail, FedEx Express, or another method selected by the Company.

If a Product has not arrived after the normal delivery period, please contact the Company through the website inquiry form or at support@amesma.net.

If reshipment is required because the Subscriber provided an incorrect or incomplete delivery address, the Subscriber will be charged a reshipping fee of US$5.00 for delivery within Japan or US$15.00 for delivery within the United States.

To the fullest extent permitted by law, the Company is not responsible for compensation or damages arising from a delay, misdelivery, or loss caused by a shipping carrier.

4. Billing and Payment

All charges for the Services will be billed in U.S. dollars from the United States to the credit card registered at the time of application. Any foreign transaction fee or other fee imposed by the card issuer is the Subscriber’s responsibility.

The purchase price for Products is charged when the order is placed. The activation fee and the prorated first-month plan charge are billed between seven (7) business days before and one (1) day before the requested activation date. Beginning with the following month, the full monthly plan charge is generally billed around the twentieth (20th) day of the preceding month.

Usage-based voice charges, outgoing SMS charges, international calling charges, and international roaming charges are generally billed around the middle of the month following use, after the Company receives the applicable usage records from the underlying carrier. If the carrier delivers usage records late, billing may also be delayed.

Unsolicited sales calls, spam calls, calls from unknown numbers, or incoming SMS messages may generate charges under the billing rules of the underlying carrier.

Recurring plan charges and other fixed charges apply regardless of actual use because they compensate the Company for reserving and managing the right to use the assigned phone number and for reserving and provisioning network capacity. Charges therefore continue until the right to use the phone number expires.

If a procedure is delayed and additional costs are incurred because the Subscriber or User fails to respond, fails to provide required information, or is otherwise at fault, the Subscriber is responsible for those additional costs.

Data charges resulting from failure to disable mobile data settings, and charges arising from tethering or hotspot use, are billable. Before using the Service, the Subscriber should confirm the required device settings with the device seller or manufacturer.

Any additional high-speed data purchased by the Subscriber may be used only during the designated validity period and only for the phone number specified at purchase. The purchase cannot be canceled or refunded after completion.

The Subscriber must promptly notify the Company and update the payment information if the registered credit card changes. If the Company cannot collect any amount because of an exceeded credit limit, expired card, or other reason, the Company may suspend the line until all outstanding amounts are paid in full. A line reconnection fee will apply if the line is restored after suspension.

If an outstanding balance remains unpaid for more than one (1) month, the Company may terminate the agreement after prior notice and may issue a demand for payment. The Company may refer the unpaid balance to a collection agency or other third party. To the extent permitted by law, the Subscriber must pay the reasonable costs of collection, including any collection agency fees.

5. Changes to Registered Information

The Subscriber must promptly notify the Company through the website inquiry form or at support@amesma.net of any change to the registered address, name, phone number, email address, or other account information.

If the Subscriber fails to provide notice of a change, any notice sent by the Company using the previously registered information will be deemed received at the time it would ordinarily have been delivered. If a Product cannot be delivered because an address change or other update was not reported, the Subscriber is responsible for all reshipping and related costs, which the Company may bill at a later date.

6. Service Activation

The Service line will be activated automatically based on the activation date selected by the Subscriber during the application process. The assigned phone number will generally be sent to the registered email address on the day before or the day of the requested activation date.

If the Subscriber has not received the phone number by the requested activation date, the Subscriber must immediately contact the Company through the website inquiry form or at support@amesma.net.

After the application is completed, the Company will send an email requesting registration of the credit card to be used for recurring monthly charges. If the credit card registration is not completed by the requested activation date, the Company cannot activate the line and the Subscriber will not be able to use the Services.

7. Phone Numbers

Under applicable law, Federal Communications Commission (“FCC”) rules, and the policies of the underlying carrier, neither the Subscriber nor the User acquires ownership of an assigned phone number. The assigned number may be changed due to a regulatory requirement or a carrier-related reason.

8. Product Management and Prohibited Conduct

The Subscriber is responsible for safeguarding and managing all Products. Without the Company’s prior written consent, the Subscriber may not transfer, lend, resell, or use any Product or Service for an unlawful or improper purpose.

If the Subscriber or User violates this Section, or if the Company reasonably determines that the conduct may harm or disadvantage the Company, an underlying carrier, or a third party, the Company may, except where notice is required by law, reject an application or immediately suspend or terminate all or part of the Services without prior notice.

9. Lost or Stolen Mobile Devices or SIM Cards

The Subscriber must immediately notify the Company if a mobile device or SIM card is lost or stolen. After receiving notice, the Company will suspend the line as soon as reasonably practicable.

To restore the line or reissue a SIM card, the Subscriber must pay the cost of a new SIM card, shipping charges, and the applicable reissuance fee.

10. SIM Insurance

The Subscriber may enroll in the optional paid protection program known as “SIM Insurance.” Subject to the applicable terms and conditions, SIM Insurance waives the SIM card cost and reissuance fee and provides a replacement SIM card if an eligible mobile device or SIM card is lost, stolen, or damaged. 11. Coverage Area

The Services may be used within the service area of the applicable underlying carrier. Please review the carrier’s coverage information for details.

Even within a stated coverage area, the Services may be unavailable in underground locations, inside buildings, between tall buildings, in mountainous areas, or in other locations where radio signals are weak or obstructed.

12. Network Outages and Carrier Issues

To the fullest extent permitted by law, the Company is not responsible for interruptions or other problems caused by carrier system failures, network outages, maintenance, congestion, or other telecommunications network conditions outside the Company’s direct control.

Even if an attempted call does not connect to the intended recipient, the underlying carrier’s network equipment may record the attempt as a billable call.

13. Device and Equipment Issues

If a mobile device or other equipment purchased from the Company develops a problem, the Subscriber must promptly notify the Company. The Company is not responsible for any additional loss caused by an unreasonable delay in reporting the problem.

The Company does not provide support for, and is not responsible for, issues arising from the inherent performance of a device, manufacturer-provided software or applications, or equipment purchased from a third party. Those issues must be resolved between the Subscriber and the applicable manufacturer, seller, or application provider.

14. Termination by the Subscriber

A Subscriber who wishes to terminate the agreement must submit a request through the cancellation procedure form listed in the Frequently Asked Questions section of the Company’s website.

The Subscriber may select a termination date that is no earlier than the business day following submission of the cancellation form. The Company may be unable to complete the request if the requested termination date is not stated. Termination will be processed on the date selected in the form.

Even if the cancellation request is submitted during a month, the right to use the phone number generally expires at the end of that month. Monthly charges are not prorated or refunded.

The minimum Service period is one (1) month. If the Subscriber terminates the Service within one (1) month after activation due to the Subscriber’s circumstances or fault, the Company will charge one full month of plan fees.

The Subscriber remains responsible for all voice, SMS, data, international roaming, and other usage charges incurred before the line is suspended, even if those charges are billed after termination has been completed.

The SIM card becomes the Subscriber’s property and may be discarded by the Subscriber after termination.

15. Phone Number Porting

A Subscriber who wishes to port a phone number must submit the request through the order page on the Company’s website, the inquiry form in the Frequently Asked Questions section, or by contacting support@amesma.net.

The porting process is generally completed within approximately one (1) week. Additional time may be required because of the actions of the losing or gaining carrier, mismatched account information, holidays, or other circumstances. The Company is not responsible for delays caused by circumstances beyond its reasonable control.

16. Changes, Suspension, or Discontinuation of Services

The Company may modify, add, or remove features or terms of the Services, or temporarily or permanently suspend or discontinue all or part of the Services, for business, technical, legal, carrier-related, or other reasonable reasons.

Changes that materially affect Subscribers will be announced, when reasonably practicable, by email to the registered email address or by posting on the Company’s website.

17. Disclaimer of Warranties

The Services and Products are provided on an “as is” and “as available” basis.

To the maximum extent permitted by applicable law, the Company disclaims all warranties, whether express, implied, statutory, or otherwise, including, without limitation, any implied warranties of merchantability, fitness for a particular purpose, title, non-infringement, accuracy, continuity, availability, performance, or quiet enjoyment.

The Company does not warrant any product or service provided by any underlying carrier, device manufacturer, shipping company, or other third party.

18. Limitation of Liability

Except for liability that cannot be excluded or limited under applicable law, and to the maximum extent permitted by applicable law, the Company shall not be liable for any damages arising out of or relating to the use of, or inability to use, the Services or Products.

If the Company is found liable for any claim, the Company’s total aggregate liability shall not exceed the total fees paid by the Subscriber to the Company during the three (3) months immediately preceding the event giving rise to the claim.

In no event shall the Company be liable for any indirect, incidental, special, exemplary, punitive, or consequential damages, including, without limitation, lost profits, loss of business, loss of data, loss of goodwill, or the cost of substitute products or services, regardless of the legal theory asserted (whether in contract, tort, negligence, strict liability, or otherwise), even if the Company has been advised of the possibility of such damages.

The limitations of liability set forth in this Section shall apply regardless of the form of action and shall survive the termination of the Services or these Terms.

19. Force Majeure

The Company shall not be liable for any delay, interruption, suspension, or failure in the performance of the Services resulting from causes beyond the Company’s reasonable control, including, without limitation, natural disasters, earthquakes, floods, fires, pandemics, war, terrorism, civil unrest, labor disputes, governmental actions, changes in law, failures of underlying carriers, power outages, Internet outages, cyberattacks, or other force majeure events.

20. Privacy

The Company’s collection, use, storage, sharing, and disclosure of the Subscriber’s personal information and other information are governed by the Company’s Privacy Policy, which is incorporated into these Terms by reference. The Privacy Policy may be amended from time to time.

By applying for or using the Services, the Subscriber acknowledges that the Subscriber has reviewed and understood the Privacy Policy.

Where the Subscriber’s consent is required for the handling of personal information under applicable law, the Company will obtain such consent as required by law.

21. Acceptable Use

The Subscriber shall use the Services only for lawful purposes and in compliance with these Terms, all applicable laws and regulations, applicable underlying-carrier requirements, and any additional usage requirements established by the Company.

The Subscriber shall not use, or permit any other person to use, the Services for or in connection with:

1. any unlawful, fraudulent, deceptive, threatening, harassing, abusive, or harmful activity;

2. the transmission of unsolicited messages, spam, unsolicited advertisements, solicitations, or other bulk communications;

3. automated, high-volume, or abnormal SMS, MMS, voice, or other communications without the prior authorization of the Company or the underlying carrier;

4. phishing, spoofing, unauthorized alteration of caller-identification information, or impersonation of another person or entity;

5. the transmission or distribution of malware, viruses, or other harmful code;

6. unauthorized access, hacking, network intrusion, or the circumvention or interference with security controls;

7. conduct that imposes an excessive burden on, disrupts, or interferes with the normal operation of the networks, systems, facilities, or services of the Company, an underlying carrier, another subscriber, or a third party;

8. infringement of intellectual-property rights, privacy rights, or other rights of any third party;

9. resale, redistribution, sharing, or commercial exploitation of the Services, unless expressly authorized in advance by the Company in writing;

10. the use of stolen or fraudulently obtained devices, SIMs, eSIMs, accounts, payment methods, or personal information; or

11. any other activity that the Company or an underlying carrier reasonably determines constitutes fraud, abuse, a threat to network security, or usage materially outside the scope of ordinary personal use.

The Company may restrict, suspend, or terminate all or any portion of the Services without prior notice if the Company reasonably determines that the Subscriber has violated this Section or that such action is necessary to protect the network, other subscribers, or third parties.

To the extent permitted by law, the Company may block, investigate, or report communications associated with prohibited activity to an underlying carrier, governmental authority, or law-enforcement agency.

22. Emergency Services (911 / E911)

The Services may provide access to 911 or Enhanced 911 services (“E911”) when supported by the applicable device, network, and geographic area.

911 and E911 may operate differently from traditional mobile telephone service and may be unavailable, limited, delayed, incorrectly routed, or unable to provide accurate location information, including when:

1. there is a network outage, service disruption, power failure, disaster, or equipment failure;

2. the device, SIM, eSIM, software, or device settings malfunction;

3. the Services have been suspended, restricted, or terminated;

4. signal strength is insufficient or the Subscriber is outside a supported coverage area;

5. the Subscriber is using Wi-Fi Calling, roaming, an internet connection, or another alternative calling method;

6. the address or location information provided or registered by the Subscriber is inaccurate, outdated, or incomplete;

7. location services on the device are disabled; or

8. the device or network does not support 911 or E911 functionality.

When contacting emergency services, the Subscriber should provide the emergency operator with the Subscriber’s current location, name, telephone number, and any other necessary information whenever possible.

The Company does not guarantee the availability, connection, routing, location accuracy, response time, or quality of any 911 or E911 communication.

Except to the extent liability cannot be excluded or limited under applicable law, the Company shall not be liable for any inability to access emergency services, delay, misrouting, inaccurate location information, or failure of emergency response.

The Subscriber is advised not to rely exclusively on the Services for emergency communications and, where reasonably available, to maintain access to a landline, another mobile telephone, or another method of communication.

23. Export Controls and Sanctions

The Subscriber shall comply with the U.S. Export Administration Regulations, economic sanctions administered by the U.S. Department of the Treasury’s Office of Foreign Assets Control (“OFAC”), embargoes, and all other applicable export-control, re-export, trade-control, and economic-sanctions laws and regulations.

The Subscriber shall not, directly or indirectly, use, export, re-export, transfer, provide, or otherwise make available the Services, any SIM, eSIM, device, software, technology, or related product or service in violation of applicable law.

The Subscriber represents and warrants that the Subscriber is not:

1. identified on any applicable U.S. government sanctions or restricted-party list;

2. directly or indirectly owned or controlled by a sanctioned or restricted person;

3. located, ordinarily resident, or organized under the laws of a country or region subject to comprehensive U.S. sanctions or embargoes, except to the extent authorized by applicable law or governmental authorization; or

4. otherwise prohibited from receiving or using the Services under applicable export-control or sanctions laws.

The Company may, without prior notice, reject an order, restrict, suspend, or terminate the Services, or place a transaction on hold if the Company reasonably determines that such action is necessary to comply with applicable export-control or sanctions laws.

24. Severability

If any provision, or any portion of a provision, of these Terms is determined by a court or arbitrator of competent jurisdiction to be invalid, illegal, or unenforceable, that provision shall be modified or limited to the minimum extent necessary so that it is enforceable to the fullest extent permitted by applicable law.

If the provision cannot be made enforceable through modification or limitation, the invalid or unenforceable provision or portion shall be severed from these Terms, and the remaining provisions shall remain in full force and effect.

25. Entire Agreement

These Terms, the Privacy Policy, the applicable order, the applicable service plan, and any other terms, policies, or documents expressly referenced or incorporated into these Terms constitute the entire agreement between the Subscriber and the Company concerning the Services.

They supersede all prior or contemporaneous oral or written agreements, negotiations, communications, descriptions, proposals, representations, and understandings concerning the Services.

Notwithstanding the foregoing, if an authorized representative of the Company expressly agrees in a signed writing to terms that differ from these Terms, that signed writing shall control to the extent of the conflict.

26. Assignment

The Subscriber may not assign, transfer, delegate, or otherwise dispose of any contractual position, right, or obligation under these Terms, in whole or in part, without the Company’s prior written consent.

Any attempted assignment or transfer in violation of this Section shall be void to the extent permitted by applicable law.

The Company may assign or transfer any contractual position, right, or obligation under these Terms, in whole or in part, without the Subscriber’s separate consent, in connection with a merger, acquisition, corporate reorganization, sale of all or part of its assets or business, financing transaction, transfer to an affiliate, change in service provider or underlying carrier, or other business succession.

These Terms shall bind and benefit each party and its respective lawful successors and permitted assigns.

27. No Waiver

The Company’s failure or delay in exercising or enforcing any right, remedy, or provision under these Terms shall not constitute a waiver of that right, remedy, or provision.

A waiver by the Company shall be effective only if expressly made in writing by an authorized representative of the Company and shall apply only to the specific matter and instance identified in that writing.

A waiver of any breach shall not constitute a waiver of any prior, continuing, or future breach of the same or any other provision.

28. Dispute Resolution and Binding Individual Arbitration

1. Important Notice

This Section materially affects the legal rights of the Subscriber and the Company.

Except as otherwise provided below, the Subscriber and the Company agree to resolve disputes through binding individual arbitration instead of a lawsuit decided by a judge or jury.

Arbitration may provide more limited discovery and appellate rights than would be available in court.

2. Notice of Dispute and Informal Resolution

Before initiating arbitration or court proceedings, the party asserting a dispute must send the other party a written Notice of Dispute and attempt in good faith to resolve the dispute informally for at least thirty (30) days.

A notice sent by the Subscriber to the Company must include:

1. the Subscriber’s name, address, telephone number, and email address;

2. information sufficient to identify the applicable Amesma telephone number or account;

3. a description of the nature and basis of the dispute; and

4. the relief requested.

The Company may send a Notice of Dispute to the mailing address or email address associated with the Subscriber’s account.

If the dispute is not resolved within thirty (30) days after receipt of the notice, either party may initiate arbitration or another proceeding permitted by this Section.

To the extent permitted by applicable law, any applicable limitations period shall be tolled during the thirty-day informal-resolution period.

3. Agreement to Arbitrate

Any dispute, claim, or controversy arising out of or relating to these Terms, the Services, Products, pricing, billing, advertising, sales, privacy, communications, the relationship between the Subscriber and the Company, or the formation, interpretation, performance, or termination of these Terms shall be resolved through final and binding individual arbitration, regardless of whether the claim is based in contract, tort, statute, fraud, misrepresentation, or any other legal theory.

This arbitration agreement shall be governed by the Federal Arbitration Act.

A court shall decide any dispute concerning the formation, validity, or enforceability of this arbitration agreement. To the extent permitted by applicable law, the arbitrator shall decide whether a particular claim is subject to arbitration and all other procedural issues relating to the arbitration.

4. Arbitration Administrator and Rules

The arbitration shall be administered by the American Arbitration Association (“AAA”) under its then-current Consumer Arbitration Rules and, where applicable, its Mass Arbitration Supplementary Rules.

If these Terms conflict with the applicable AAA rules, these Terms shall control to the extent permitted by applicable law, unless the arbitrator or a court determines that applying the conflicting provision would render the arbitration fundamentally unfair.

The arbitration shall be conducted in English by one neutral arbitrator. A Subscriber who reasonably requires language accommodation may request such accommodation from the AAA and the Company.

The arbitrator may award any individual relief that would be available in a court, subject to applicable substantive law and these Terms.

The arbitrator’s award shall be final and binding, and judgment on the award may be entered and enforced in any court having jurisdiction.

5. Location and Manner of Arbitration

The Subscriber may elect to have the arbitration conducted on written submissions, by telephone, by videoconference, or through an in-person hearing in the county where the Subscriber resides or at another location agreed upon by the parties and the AAA, unless otherwise required by the applicable AAA rules or ordered by the arbitrator.

The Company will not automatically require the Subscriber to appear in Dallas County, Texas.

6. Arbitration Fees

Filing fees, administrative fees, and arbitrator compensation shall be allocated in accordance with the AAA Consumer Arbitration Rules and applicable law.

The Company will pay all fees that the Company is required to pay under the applicable AAA rules or applicable law.

Unless the arbitrator determines that the Subscriber’s claim was frivolous or brought for an improper purpose, the Company will not seek to require the Subscriber to pay arbitration costs exceeding the amount assigned to the consumer under the applicable AAA rules.

Each party shall bear its own attorneys’ fees except where an award of attorneys’ fees is authorized by applicable law, the AAA rules, or the arbitrator’s award.

7. Small Claims Court and Governmental Complaints

Notwithstanding this Section, either the Subscriber or the Company may bring an individual claim in a court of competent jurisdiction if the claim qualifies for that court’s small-claims jurisdiction.

Nothing in this Section prevents the Subscriber from filing a complaint or claim with the FCC, the FTC, a state attorney general, a consumer-protection agency, or any other administrative or regulatory authority.

8. Class-Action and Representative-Action Waiver

To the fullest extent permitted by applicable law, the Subscriber and the Company agree that all disputes shall be brought and resolved only on an individual basis.

The Subscriber and the Company waive the right to participate as a plaintiff, claimant, class member, or representative in any class action, class arbitration, collective action, consolidated action, representative action, private-attorney-general action, or other proceeding brought on behalf of any third party.

The arbitrator shall have no authority to consolidate the claims of multiple persons or to preside over a class, collective, or representative proceeding, except where the parties expressly agree otherwise in writing or where procedural coordination is required under applicable AAA mass-arbitration rules.

If all or part of this Subsection is determined to be unenforceable with respect to a particular claim or form of relief, that claim or requested relief shall be decided by a court of competent jurisdiction only after all arbitrable claims have been completed.

9. Jury-Trial Waiver

For any dispute that is not subject to arbitration and is heard in court, the Subscriber and the Company each waive the right to a trial by jury to the fullest extent permitted by applicable law.

10. Right to Opt Out of Arbitration

The Subscriber may opt out of this arbitration agreement by sending the Company written notice within thirty (30) days after the date on which the Subscriber first agrees to these Terms.

The opt-out notice must include the Subscriber’s name, address, telephone number, email address, applicable Amesma telephone number or account information, and a clear statement that the Subscriber wishes to opt out of the arbitration agreement.

A timely and valid opt-out will apply only to this arbitration agreement. It will not affect the remaining provisions of these Terms, and the Company will not treat the Subscriber adversely because the Subscriber exercised the right to opt out.

11. Changes to This Arbitration Agreement

If the Company makes a material change to this arbitration agreement, the Company will provide notice before the change becomes effective.

To the extent permitted by applicable law, the Subscriber may reject the change within the period specified in the notice. If the Subscriber timely rejects the change, the version of the arbitration agreement most recently in effect between the Subscriber and the Company before the change shall continue to apply.

12. Survival and Severability

This arbitration agreement shall survive the suspension, cancellation, termination, port-out, or closure of the Services or the Subscriber’s account and the termination of these Terms.

If any portion of this arbitration agreement is found invalid or unenforceable, the remaining portions shall remain in effect, except as otherwise provided in the Class-Action and Representative-Action Waiver above.

29. Copyright and Intellectual Property

All text, photographs, illustrations, images, logos, and other content appearing on the Company’s website are owned by the Company or the applicable rights holder and are protected by copyright and other intellectual property laws.

Except for private use, quotation, or another use expressly permitted by applicable law, no content may be reproduced, republished, modified, distributed, publicly transmitted, or otherwise used without prior permission from the Company or the applicable rights holder. Please contact the Company regarding permission requests.

30. Amendments to These Terms

The Company may amend, supplement, or remove any provision of these Terms from time to time for legal, operational, technical, business, or other reasonable purposes.

If the Company makes material changes to these Terms, the Company will provide notice of the changes and their effective date by posting the revised Terms on the Company’s website, sending an email to the Subscriber’s registered email address, or by another reasonable method determined by the Company.

Unless an earlier effective date is required by applicable law, the revised Terms will become effective on the date specified in the notice.

By continuing to use the Services after the effective date, the Subscriber agrees to be bound by the revised Terms.
